The Delaware Corporate Law Council, for which The Delaware Council Group’s Ellisa Habbart serves as a member, was recently featured in The News Journal’s Most Influential People in Law for 2024. According to the article:
Delaware is in a unique position as the nation’s incorporation capital and so it essentially provides governing corporate law for companies operating across the country and globe. That means the people who set, modernize and tweak those laws have significant influence on how business is done everywhere. That responsibility largely rests with the Delaware State Bar Association’s Corporation Law Section. The group is comprised of a collection of elite attorneys who each year propose changes to what is known as the Delaware General Corporation Law. The changes are often, but not always, passed with little debate from lawmakers in the Delaware General Assembly.
Ellisa Habbart is one of only twenty-six individuals appointed to the Council of the Corporation Law Section (the “Council”) of the Delaware State Bar Association (“DSBA”).
The Council meets nearly year-round and is responsible for reviewing, recommending, and developing changes to the Delaware General Corporation Law (“DGCL”). The DGCL is the cornerstone of Delaware’s prominence as the jurisdiction of choice for business incorporation and is considered by many to be the universal corporate code.
Accordingly, only the most qualified corporate attorneys are appointed to be members of the Council. Through various specialized subcommittees, the Council drafts amendments to the DGCL which it proposes, upon DSBA approval, directly to the Delaware General Assembly.
