The Council meets nearly year-round and is responsible for reviewing, recommending, and developing changes to the Delaware General Corporation Law (“DGCL”). The DGCL is the cornerstone of Delaware’s prominence as the jurisdiction of choice for business incorporation and is considered by many to be the universal corporate code.

Accordingly, only the most qualified corporate attorneys are appointed to be members of the Council. Through various specialized subcommittees, the Council drafts amendments to the DGCL which it proposes, upon DSBA approval, directly to the Delaware General Assembly.

Together with the LLC and LP Committee, the Council represents the Corporation Law Section of the DSBA to further the interests of business entities in Delaware.
