International Transactions

The Delaware Counsel Group LLC (“DCG”) is often asked to provide advice on Delaware law to parties involved in multinational transactions. DCG has been a member of project finance teams providing Delaware opinions to global banks with respect to the borrowers, guarantors and/or pledgors. Often, DCG is asked to draft various pledge and guaranty agreements used in transactions all over the world, or to provide legal opinions and advice concerning international mergers and acquisitions. From Bulgarian banks to English real estate developers and major motion picture financiers, Ellisa Opstbaum Habbart has been advising on Delaware law and Delaware entities used in international transactions for nearly two decades.

Representative Matters


Reorganization:
Advised on the reorganization, merger, conversion, and operation of certain Delaware affiliates of a global management consulting, technology services and outsourcing company with more than 180,000 people in 49 countries and net revenues in excess of $19 billion.

Financial Services: Advised on Delaware law issues regarding Delaware limited partnerships for a leading financial services provider in Germany.

Mergers: Advised a leading Icelandic financial institution on Delaware law issues and provided legal opinions in connection with the merger of Delaware borrowers.

Guaranty: Represented non-U.S. bank in connection with the ability of a Delaware corporation to guarantee loan being made to English entity; drafted Delaware guaranty and rendered opinion regarding enforceability of same.

Alternative Business Entities:  Advised and rendered opinions to international banks regarding financings to Delaware corporations and alternative business entities.

Disclosure: Advised in connection with preparing the public disclosure documents of an international publicly-traded company that provides information and software products to the financial industry.

Sales of Assets: Provided advice and rendered opinions to non-U.S. companies regarding their ownership in Delaware corporations and limited liability companies, specifically in connection with the sale of assets and/or sale of equity interests.

Investment Vehicles: Structured investment vehicles designed for institutional investors using Delaware limited partnerships, limited liability companies and statutory trusts for U.K. based investment companies.
